The operating boundaries for a professional sourcing platform: what the catalog means, when a transaction becomes binding and which facts still require confirmation.
Translations are provided for convenience. If a translated version conflicts with the English version, the English version controls, except where mandatory law requires otherwise.
Acceptance and business use
These Terms govern access to and use of the Elosung website, accounts, workspaces, catalogs, procurement lists, AI-assisted features and business workflows. By using the service, you agree to these Terms. If you act for a company or other organization, you confirm that you have authority to bind it for that use.
Elosung is intended for adults acting in a business or professional capacity. It is not a consumer retail checkout service. Mandatory rights that cannot lawfully be excluded remain unaffected.
What the platform does
Elosung is a quote-first B2B sourcing and wholesale platform. It organizes supplier-recorded product data, available-stock records, buying calculations, procurement lists, RFQs, quotations and operational records so businesses can evaluate and administer a potential transaction.
The service name is Elosung. The legal entity entering a specific sale, supply or service transaction is the entity named in the applicable quotation, pro forma invoice, order confirmation or other commercial document.
These website Terms govern use of the digital service. A signed or accepted transaction document governs the relevant purchase. If the documents conflict on a transaction matter, the more specific accepted transaction document controls.
Accounts and organization access
You must provide accurate business information, keep account details current, protect sign-in credentials and use only the organization, role and permissions you are authorized to use. You are responsible for actions taken through your account unless applicable law provides otherwise.
Do not share access tokens, bypass organization boundaries, create misleading identities or use another person's account. Notify us promptly if credentials, procurement-list access or organization membership may be compromised.
Buyer, supplier, promoter and internal roles have different permissions. An application, invitation or submitted profile does not guarantee approval or continued access.
Catalog, pricing and stock records
Product titles, images, brands, barcodes, origin, specifications, prices, MOQ, quantity increments, case packs, carton facts and stock records may originate with a supplier or another identified source. We use controls to keep records traceable, but a published record is not an independent certification of every fact.
Displayed unit prices and available quantities are current catalog references, not a binding offer or stock reservation. Stock, packaging, eligibility, allocation, freight and price remain subject to verification in the commercial process.
You must review the exact SKU, configuration, quantity, destination and evidence relevant to your intended market. Similar images, related products or AI suggestions are not substitutes for the confirmed product identity.
RFQs, quotations and order formation
A procurement list or RFQ records purchasing interest and does not create an order. A quotation remains subject to its validity period, stated assumptions and open conditions. No product is reserved merely because it appears in a list or quotation.
An order is formed only through the acceptance and confirmation process stated in the applicable quotation or order document. The confirmed document identifies the products, quantities, price, currency, Incoterm, named place, payment terms, freight scope and any conditions that bind the parties.
We may reject or seek clarification of an RFQ or acceptance that is incomplete, inconsistent, unauthorized, technically invalid, outside available stock, or affected by a clear pricing or data error.
Payments and commercial instructions
Elosung does not currently provide an open consumer card checkout. Payment method, beneficiary, schedule, currency and supporting references are stated in an approved transaction document or verified commercial communication.
Always verify a change of bank details through an independently confirmed contact before sending funds. A dashboard status or uploaded payment reference is an operational record; it does not replace confirmation that cleared funds were received by the correct beneficiary.
Taxes, duties, bank fees, insurance, freight, inspection and other charges are included only when the applicable document expressly says so.
Shipping, import and destination compliance
Freight estimates are planning inputs, not carrier bookings or guaranteed delivery promises. The quoted Incoterm and named place define the agreed allocation of cost and risk, subject to the complete transaction document.
Unless the accepted document assigns a responsibility elsewhere, the buyer is responsible for destination requirements, importer status, permits, product registration, labeling, testing, customs classification, duties and taxes. A product's presence in the catalog does not prove eligibility in every destination.
Transit and availability can be affected by carriers, customs, inspections, port conditions, supplier updates and events outside reasonable control. We will communicate known material changes through the relevant business workflow.
Brands, content and private label
The Elosung service, original interface, text, graphics and software are protected by applicable intellectual-property rules. You may use the service for your internal business evaluation and authorized transactions, but may not copy, scrape, republish, resell or create a competing database from the service except with written permission or as allowed by law.
Brand names, product images and supplier materials may belong to their respective owners. Catalog access does not grant a right to use a trademark, remove branding, repackage a product or sell under a private label.
OEM, ODM, packaging and private-label rights must be explicitly confirmed for the exact project. You are responsible for having rights to the logos, artwork, claims and specifications you provide.
AI-assisted tools
AI may help interpret a sourcing request, find related catalog records or prepare an internal draft. AI output can be incomplete or wrong and must be checked against the current catalog, supporting evidence and formal commercial documents.
AI output does not create a warranty, reserve inventory, approve credit, confirm compliance, set a final price or enter a contract. Do not use prompts to submit secrets or personal information that is unnecessary for the task.
Prohibited use
You may not use Elosung to break the law, infringe rights, misrepresent identity or authority, submit malicious code, probe security, evade rate limits, interfere with another organization, extract data at unreasonable scale, manipulate referral or commission records, send unlawful messages, or obtain unauthorized access.
You may not present an estimate, AI response, draft, unconfirmed stock figure or catalog statement as an official Elosung quotation, certification or guarantee.
Availability and third-party services
We may maintain, change or suspend features to protect security, accuracy or service operation. We do not promise uninterrupted access, and some functions depend on external authentication, hosting, email, AI, supplier, logistics or communication providers.
Links or integrations do not make Elosung responsible for an external service's independent content, availability or terms. Your use of an external service may be governed by that provider's terms.
Disclaimers and liability boundaries
The website and pre-quotation tools are provided on an as-available basis for professional evaluation. To the extent permitted by law, we do not give an unstated warranty about uninterrupted access, supplier data, estimates, AI output, market eligibility or a product's suitability for an undisclosed purpose.
Liability for a confirmed transaction is governed by the accepted transaction documents and mandatory law. To the extent permitted by law, neither party is liable under these website Terms for indirect, incidental or consequential loss that was not reasonably foreseeable when the relevant obligation arose.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability arising from fraud or other non-excludable conduct.
Suspension and ending access
You may stop using the public service at any time and may request account closure subject to transaction, security and legal-retention requirements. We may restrict or end access for a material breach, security risk, fraud concern, unlawful use, prolonged inactivity or a role that is no longer authorized.
Ending account access does not cancel an existing quotation, order, payment, confidentiality duty, intellectual-property obligation or claim. Provisions that by their nature should continue remain effective.
Applicable terms, disputes and changes
The governing law, dispute process and contracting entity for a purchase are stated in the applicable quotation, order or other accepted commercial agreement. Mandatory laws may apply regardless of a contractual choice.
For a concern about the website before any transaction document applies, contact us first so the responsible operator and facts can be identified. These Terms do not invent a court or legal entity that is absent from the actual commercial record.
We may update these Terms for service, security or legal changes. The effective date identifies the current version. Changes apply prospectively unless a different effect is required by law or agreed in a transaction document.
